Holman Equipment Direct Sweepstakes Rules

1. Eligibility: The Sweepstakes is open only to those persons who log in to the Holman Equipment Direct Auction with a valid and verified log-in credential after 12:00 PM on March 13th, 2025 (the “Auction”) and before 1:30 PM on March 14th, 2025, and who are at least eighteen (18) years old at the time of log-in. Only one entry is permitted per valid and verified log-in credential. The Sweepstakes is open to legal residents of the United States only and is void where prohibited by law. Employees of Automotive Rentals, Inc. t/a Holman (“Holman”) or its clients, or each of their respective affiliates, subsidiaries, officers and directors, and the immediate family members and/or those living in the same household of each of the above are not eligible to participate in the Sweepstakes.

2. Agreement to Rules: By participating, you agree to be fully unconditionally bound by these Rules, and you represent and warrant that you meet the eligibility requirements set forth herein. In addition, you agree to accept the decisions of Holman, as final and binding as it relates to the Sweepstakes. The Sweepstakes is subject to all applicable federal, state and local laws, and is void where prohibited.

3. Sweepstakes Period: The Sweepstakes period is between 12:00 PM on March 13th, 2025 to 1:30 PM on March 14th, 2025 (the “Sweepstakes Period”). All times referred to in these Rules are Eastern Time (US & Canada).

4. How to Enter: All persons who log in to the Holman Equipment Direct portal at some point during the Sweepstakes Period with a valid and verified log-in credential are automatically entered to win. If you wish to opt-out of the Sweepstakes, please email [email protected] and state that you wish to be removed from the Sweepstakes. Failure to opt-out in the method described above may result in entry into the Sweepstakes, and Holman and its affiliates shall have no liability or responsibility with respect to any consequences of your failure to opt-out as described in these Rules. The entrant must fulfill all Sweepstakes requirements, as specified, to be eligible to win a prize, including without limitation having a valid email address on record with Holman at which Holman can contact you in the event that you win. Entries that are not complete or do not adhere to the rules or specifications may be disqualified at the sole discretion of Holman. You may not enter more times than indicated by using multiple e-mail addresses, identities or devices in an attempt to circumvent the rules. If you use fraudulent methods or otherwise attempt to circumvent the rules your submission may be removed from eligibility at the sole discretion of Holman.

5. Prizes: The prizes for the Sweepstakes are: (a) one (1) Bose Noise Cancelling Bluetooth Headphones, (b) one (1) Happrun 4K Projector, and (c) one (1) Ruko Drone with 4K Camera. The approximate total retail value of all prizes is $930. Limit of no more than one prize per winner. You are not guaranteed to win a prize and your chance of winning is dependent on the total number of eligible entries received. Holman reserves the right to substitute a prize of equal or greater value. The specifics of the prize shall be determined by Holman in its sole discretion. Any and all prize-related expenses, including without limitation any and all federal, state, and local taxes, shall be the sole responsibility of the winner. No substitution of prize or transfer or assignment of prize to others or request for the cash equivalent by winners is permitted except at Holman’s sole discretion.

6. Odds: The odds of winning depend on the number of eligible entries received.

7. Winner Selection and Notification: Winners of the Sweepstakes will be selected via a random drawing from a pool of all eligible entries. Winners will be notified via email to the email addresses on file with Holman within two (2) hours following the winner selection. Holman reserves the right to perform additional checks to confirm eligibility before awarding the prize. Holman shall have no responsibility or liability for a winner’s failure to receive notices due to winners’ spam, junk e-mail or other security settings or for winners’ provision of incorrect or otherwise non-functioning contact information. If the selected winner cannot be contacted, is ineligible, fails to claim the prize within thirty (30) days from the time award notification is sent, or fails to timely return a completed and executed declaration and releases as required, a prize may be forfeited and an alternate winner selected via a subsequent random drawing. The receipt by a winner of a prize offered in this Sweepstakes is conditioned upon compliance with any and all federal, state and local laws and regulations. ANY VIOLATION OF THESE RULES OR ANY APPLICABLE FEDERAL, STATE OR LOCAL LAW BY ANY WINNER (AT HOLMAN’S SOLE DISCRETION) WILL RESULT IN SUCH WINNER’S DISQUALIFICATION AS WINNER OF THE SWEEPSTAKES AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.

8. Rights Granted by You: By accepting a prize in the event you are a winner, you understand and agree that Holman, anyone acting on behalf of Holman, or its respective affiliates, subsidiaries, licensees, successors and assigns will have the right, where permitted by law, without any further notice, review or consent, to print, publish, broadcast, distribute, and use, worldwide in any media now known or hereafter in perpetuity and throughout the world, your entry, including, without limitation, your name, portrait, picture, voice, likeness, image or statements about the Sweepstakes, and biographical information as news, publicity or information and for trade, advertising, public relations and promotional purposes without any further compensation.

9. Terms: Holman reserves the right, in its sole discretion to cancel, terminate, modify or suspend the Sweepstakes, in its sole discretion, in the event of (i) any virus, bug, non-authorized human intervention, fraud or other causes beyond its control that could corrupt or affect the administration, security, fairness or proper conduct of the Sweepstakes; (ii) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software; (iii) the unavailability or inaccessibility of any transmissions or telephone or Internet service; or (iv) electronic or human error which may occur in the administration of the Sweepstakes or the processing of entries. In such case, Holman may select the winners from all eligible entries received prior to and/or after (if appropriate) the action taken by Holman. Holman reserves the right at its sole discretion to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Sweepstakes or website or violates these Rules. Holman has the right, in its sole discretion, to maintain the integrity of the Sweepstakes, to void entries for any reason, including, but not limited to; multiple entries from the same user from different IP addresses; or the use of bots, macros or scripts or other technical means for entering. Any attempt by an entrant to deliberately damage any website or undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil laws and should such an attempt be made, Holman reserves the right to seek damages from any such person to the fullest extent permitted by law.

10. Limitation of Liability: By entering you agree to release and hold harmless Holman and its subsidiaries, affiliates, partners, representatives, agents, successors, assigns, employees, officers and directors from any liability, illness, injury, death, loss, litigation, claim or damage that may occur, directly or indirectly, whether caused by negligence or not, arising out of or in connection with participation in this Sweepstakes or the acceptance, use, or misuse of any prize. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.

11. Governing Law; Disputes: The laws of the State of New Jersey shall govern the Sweepstakes, these Rules, and any dispute between you and Holman, without regard to its conflicts or choice of laws rules. You expressly agree to submit irrevocably to the exclusive jurisdiction and venue of the United States District Court for the District of New Jersey, or if jurisdiction is lacking in such court, then to the exclusive jurisdiction and venue of the state courts of New Jersey in Burlington County, New Jersey, for the adjudication of any matter arising out of or relating to the Sweepstakes, including but not limited to the interpretation and enforcement of these Rules. You expressly waive the right to assert any objections to the jurisdiction and/or venue of the United States District Court for the District of New Jersey or the state courts of New Jersey in Burlington Country, New Jersey. YOU HEREBY IRREVOCABLY AND EXPRESSLY WAIVE, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY AND ALL RIGHT TO TRIAL BY JURY IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATED TO THE SWEEPSTAKES OR THESE RULES. YOU HEREBY IRREVOCABLY AND EXPRESSLY WAIVE THE RIGHT TO LITIGATE ANY CLAIM OR DISPUTE ARISING OUT OF OR RELATED TO THE SWEEPSTAKES OR THESE RULES AS A CLASS ACTION, EITHER AS A MEMBER OF A CLASS OR AS A CLASS REPRESENTATIVE.
